The Service
Cuelock is a customer success platform that analyzes customer communications to identify relationship-relevant insights and generate suggested outreach tasks. Cuelock connects to third-party communication tools such as email, chat platforms, and call systems. All generated outreach requires human review and approval before sending. Cuelock does not autonomously contact end customers.
Eligibility and Account Responsibilities
You must have authority to bind your organization to these Terms. You are responsible for:
Maintaining the confidentiality of account credentials
Ensuring only authorized users access the Service
All activity occurring under your account
You are responsible for ensuring your use complies with applicable employment, privacy, and communications laws.
Data Access and Permissions
By connecting third-party services, you authorize Cuelock to:
Access, process, and analyze communications data strictly to provide the Service
Generate insights, summaries, and suggested messages
Cuelock processes data solely on your behalf. You represent that you have obtained all necessary rights and consents to provide this data, including from employees and customers where required.
Data Ownership and Use
You retain ownership of your data. Cuelock does not claim ownership over customer communications.
Cuelock may:
Process data to deliver, maintain, and improve the Service
Use aggregated and anonymized data for analytics and product improvement
Cuelock does not sell customer data.
Human Oversight and Responsibilities
Cuelock provides recommendations, not decisions. You acknowledge that:
All tasks, messages, and outreach are reviewed and approved by a human
You are solely responsible for the content and timing of any communication sent
Cuelock is not responsible for business outcomes, customer reactions, or relationship impact.
Acceptable Use
You agree not to:
Use the Service for unlawful, deceptive, or abusive communications
Attempt to reverse engineer or misuse the platform
Circumvent security or access controls
Cuelock may suspend access for violations.
Third-Party Servicese
The Service relies on third-party platforms. Cuelock is not responsible for:
Availability, security, or accuracy of third-party services
Changes to third-party APIs or terms
Your use of third-party services remains governed by their respective agreements.
Confidentiality
Each party agrees to protect the other’s confidential information and use it only to fulfill obligations under these Terms.
Fees and Payment
Fees, billing terms, and usage limits are defined in your order form or subscription agreement. Payments are non-refundable except as required by law.
Term and Termination
Either party may terminate according to the applicable subscription terms. Upon termination:
Access to the Service will end
Data will be handled according to Cuelock’s data retention policies
Disclaimers
The Service is provided “as is.” Cuelock does not guarantee:
That insights are complete or error-free
That use of the Service will increase retention or revenue
Limitation of Liability
To the maximum extent permitted by law, Cuelock is not liable for indirect, incidental, or consequential damages. Cuelock’s total liability is limited to the fees paid in the prior 12 months.
Indemnification
You agree to indemnify Cuelock against claims arising from:
Your data
Your communications
Your violation of law or these Terms
Governing Law
These Terms are governed by the laws of Delaware, United States, excluding conflict of law principles.
Changes to Terms
Cuelock may update these Terms. Continued use after changes constitutes acceptance.
